Terms of Service

If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.

This Agreement is between Global Key Solutions and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service:

A B2B SaaS regulatory data platform that powers compliance intelligence for enterprises. Offered under the KeyPedia™ Agent suite, it delivers provenance-rich insights, automated analytics, and agentic workflows to surface FDA and GMP regulatory data.

Cloud Service Fees:

Per invoice fees directly to the account holder.

Payment Process:

Bill by invoice: Provider will invoice Customer Annually. Customer will pay each invoice within 5 day(s) from the last day of the Subscription Period.

Non-Renewal Notice Period:

At least 30 days before the end of the current Subscription Period.

Key Terms

Customer:

The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word "Customer" in the Agreement will mean that company.

Provider:

Global Key Solutions

Effective Date:

The date Customer first accepts this Agreement.

Governing Law:

The laws of the State of Delaware

Chosen Courts:

The state or federal courts located in Delaware

Covered Claims:

Provider Covered Claims:

Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else's intellectual property or other proprietary rights.

Customer Covered Claims:

Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else's intellectual property or other proprietary rights; or (2) results from Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount:

The fees paid or payable by Customer to provider in the 12 month period immediately before the claim

Document Store Purchases

Certain regulatory documents in our catalog are available for one-time purchase through the Document Store. By completing a purchase, you agree to the additional terms in this section.

Payment Processing

Payments are processed by Stripe, Inc. ("Stripe") as our payment sub-processor. We never see or store your full card details. Your use of the Document Store is also subject to Stripe's terms and privacy policy.

All Sales Final

All Document Store purchases are final and non-refundable. Because purchased documents are immediately provisioned for download in your library upon successful payment, we do not offer refunds, store credit, or exchanges. Please review your cart carefully before completing checkout. By completing a purchase you acknowledge and agree that no refund will be issued for any reason, including but not limited to accidental purchases, change of mind, or duplicate purchases.

Access & Revocation

A successful purchase grants you a personal, non-transferable license to access the purchased document(s) through your Global Key Solutions account. Access is permanent until revoked. We may revoke access in the following circumstances: (a) a chargeback or payment dispute is initiated against the purchase by your card issuer or bank; (b) the purchase is later determined to be fraudulent; (c) you breach these Terms; (d) at our discretion in connection with administrative or compliance actions. If a dispute is later resolved in our favor, we may at our discretion restore access.

Disputes & Chargebacks

Initiating a chargeback or payment dispute with your card issuer prior to contacting us at hello@globalkeysolutions.net to resolve the issue is a violation of these Terms. Such action will result in immediate revocation of access to the disputed document(s) and may result in termination of your account.

Pricing & Taxes

Prices displayed at the time of purchase are the prices charged. Prices may change without notice; previously placed orders are unaffected. Customer is responsible for any taxes that may apply to their purchase.

Use of Documents

Purchased documents are sourced from publicly available regulatory data. Your purchase grants you a license to access and use the document for your internal business or research use. You may not redistribute, resell, or sublicense the documents.
